The specific deliverables, timelines, and pricing for any engagement are governed by a separate Service Agreement or Statement of Work entered into between Volente Media and the client.

2. Use of Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

• Use the site in any way that violates applicable local, national, or international laws or regulations
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of the site or its related systems

3. Intellectual Property

Deliverables created by Volente Media for clients (such as email copy and campaign materials) are transferred to the client upon full payment, as outlined in the applicable Service Agreement.

4. Client Responsibilities

Clients engaging Volente Media's services agree to:

• Provide accurate and complete information about their business, target market, and offer
• Respond to onboarding materials, copy review requests, and strategy check-ins in a timely manner
• Ensure that the products or services being promoted comply with all applicable laws
• Not use Volente Media's services to send communications that are deceptive, illegal, or in violation of CAN-SPAM, GDPR, CASL, or other applicable anti-spam laws

5. Payment Terms

Payment terms are outlined in the Service Agreement for each engagement. Unless otherwise agreed in writing, invoices are due upon receipt. Volente Media reserves the right to pause or terminate services for accounts with outstanding balances. All fees paid are non-refundable unless otherwise specified in writing.

6. Results & Guarantees

While Volente Media uses proven methodologies and works diligently to produce results, we cannot guarantee specific outcomes such as a defined number of meetings, replies, or revenue generated. Performance in cold outreach depends on many factors outside our control, including market conditions, the quality of a client's offer, and prospect responsiveness. Any projections or estimates shared are based on historical data and are not guarantees of future performance.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, client lists, and materials shared during the engagement. This obligation survives the termination of any service agreement.

8. Limitation of Liability

To the fullest extent permitted by law, Volente Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services, even if we have been advised of the possibility of such damages. Our total liability in connection with any service engagement shall not exceed the fees paid by the client in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Volente Media and its principals, employees, and contractors from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any applicable law.

10. Termination

Either party may terminate a service engagement as outlined in the applicable Service Agreement. Volente Media reserves the right to terminate website access or refuse service to any user at our sole discretion, with or without cause.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Volente Media operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation, or if necessary, binding arbitration.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the website or services after changes are posted constitutes your acceptance of the revised Terms.
